Welcome to TranspaRents ("Service," "we," "us," or "our"). We provide an online service that offers inspection and analysis of tenancy agreements. By accessing or using our Service, you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully before using our Service. If you do not agree to these Terms, you may not use our Service.

1. Description of Service

TranspaRents provides a digital service that inspects and analyzes tenancy agreements submitted by users. Our Service is designed to:

• Highlight unfair clauses: Identify and categorize clauses within your submitted tenancy agreement with multiple severity levels.
• Provide suggested actions: Offer recommended actions or considerations related to the identified unfair clauses.
• Generate a risk assessment: Provide a general risk assessment for the tenant based on the analyzed agreement.

2. User Obligations

By using our Service, you agree to:

• Accuracy of Information: Provide accurate, complete, and current information when submitting your tenancy agreement and any other required details.
• Lawful Use: Use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
• Ownership of Documents: Warrant that you are the lawful owner or an authorized representative of any tenancy agreement submitted for inspection and that you have the legal right to submit it to us for analysis.
• Document Format: Ensure that any uploaded tenancy agreements are in a readable and compatible format as specified by our Service (e.g., PDF). We are not responsible for errors or an inability to process agreements due to unreadable or incompatible file formats.
• No Resale: Not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service for any commercial purpose without our express written permission.

3. Fees and Payment

Our Service requires payment for each individual report generated from the inspection and analysis of tenancy agreements.

• Cost Per Report: Each report generated by TranspaRents costs $1 (one US dollar).
• Payment Processing: All payments are processed securely through our chosen third-party payment provider. You agree to abide by the terms and conditions of that payment provider.
• No Refund Policy: All payments for reports are generally non-refundable.
• Exceptions for Refunds: Refunds may be considered only in the event of:
  • A verified software malfunction on our part that directly prevented the generation of the report after payment.
  • The report not being generated within a reasonable timeframe after successful payment and document upload, due to a fault with our system.
  Refund decisions under these circumstances are at our sole discretion.

4. Limitations of Service and Disclaimer of Warranties

• No Legal Advice: As stated in Section 1, our Service does not provide legal advice. The information provided is analytical and informational only, intended to assist you in understanding your agreement.
• Accuracy of Reports: While we strive for accuracy in our analysis, we do not warrant that our reports will be error-free, complete, or exhaustive. The complexity of legal documents means that nuances can be missed, and legal interpretations can vary. Our analysis is based solely on the text provided in the uploaded document.
• No Guarantee of Outcome: We do not guarantee any specific outcome or resolution to your tenancy situation as a result of using our Service.
• No Professional Relationship: Use of our Service does not create a solicitor-client relationship, a landlord-tenant relationship, or any other professional advisory relationship between you and TranspaRents.
• "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

5. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall TranspaRents, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

Our total liability to you for any damages, losses, and causes of action shall not exceed the amount paid by you for the specific report(s) giving rise to the claim, or $1 if no payment was made directly related to the claim.

6. Indemnification

You agree to defend, indemnify, and hold harmless TranspaRents and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account; b) a breach of these Terms; or c) any claims arising from the content of the tenancy agreements you submit to us.

7. Intellectual Property

The Service and its original content (excluding user-submitted tenancy agreements), features, and functionality are and will remain the exclusive property of TranspaRents and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TranspaRents.

8. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

9. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in London, United Kingdom, and you hereby consent to the personal jurisdiction and venue therein.

10. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
